Surveillance (Reporting Entity Positions)
  1. Look at the Reported Shares Issued and Outstanding and compare to the TA (Sarbanes Oxley)
  2. Look at the differences -- investigate using the Key Codes at the bottom of the page.
  3. Compare DTC vs. CD and make sure differences are explained.
  4. Compare DTC vs. Broadridge NOBO and make sure that differences are within a reasonable range.
  5. When DTC v NOBO differences exceed 10% (suggesting MARKERS OF NAKED SHORT SELLING) drill down to see detail and follow up in writing with Broker/Dealers with the largest differences.

Broker/Dealer (DTC review)
  1. Check to see which Brokers have had increases/decreases in the period.
  2. Look for news/research dates to see if there is any unusual activity preceding these. (Reg FD and Rule 144)
  3. Make a list of IR activities involving BD's and monitor for effectiveness and quality.

Shareholder Review
  1. Check the Positions report for the period to see who is a recent buyer or seller.
  2. Make a list of shareholders to follow up with based on this activity.
  3. Check for insider activity. (Rule 144 Compliance)
  4. Check for new Shareholders
  5. Look at Institutional Holders
  6. Check to see new buyers in PEER Group.
  7. Review Contact Detail for Key Shareholders from CUME % Report (Proxy Activity)
  8. Review All Peers for buyers/sellers.
